CLIENT DATA PROCESSING AGREEMENT

This Data Processing Agreement (“DPA”) forms part of any agreement between Mail It Matters LLC (“Processor”) and the Client (“Controller”) who engages Mail It Matters to perform marketing, printing, mailing, branding, design, email marketing, SMS marketing, or related services.

1. Purpose

This DPA governs the processing of personal data submitted by Client to Mail It Matters in connection with services provided by Mail It Matters.

2. Definitions

Personal Data

Any information relating to an identified or identifiable individual, including but not limited to:

  • Names
  • Mailing addresses
  • Email addresses
  • Telephone numbers
  • Business information
  • Demographic information
  • Customer records

Controller

The Client who determines the purposes and means of processing personal data.

Processor

Mail It Matters LLC, acting solely on behalf of Client for service delivery purposes.

3. Scope of Processing

Mail It Matters may process personal data solely for the purpose of:

  • Printing services
  • Direct mail campaigns
  • Mailing list management
  • Email marketing campaigns
  • SMS marketing campaigns
  • Design and branding services
  • Campaign reporting and analytics
  • Customer support and project management

Mail It Matters will not process personal data for unrelated purposes without Client authorization.

4. Client Responsibilities

Client represents and warrants that:

  • Client owns or lawfully controls all submitted data.
  • Client has obtained all necessary consents.
  • Client complies with applicable privacy laws.
  • Client has authority to instruct Mail It Matters regarding processing activities.

Client remains solely responsible for the legality, accuracy, and quality of submitted data.

5. Processor Obligations

Mail It Matters agrees to:

  • Process personal data only as instructed by Client.
  • Maintain reasonable administrative, technical, and physical safeguards.
  • Restrict access to authorized personnel.
  • Use personal data only for service delivery purposes.
  • Maintain confidentiality obligations for personnel handling personal data.

6. Security Measures

Mail It Matters implements commercially reasonable security measures designed to protect personal data from:

  • Unauthorized access
  • Unauthorized disclosure
  • Loss
  • Destruction
  • Alteration

No security system can guarantee absolute protection, and Client acknowledges this limitation.

7. Subprocessors

Mail It Matters may engage third-party service providers to support service delivery, including:

  • Printing vendors
  • Mailing houses
  • Shipping providers
  • Cloud hosting providers
  • Payment processors
  • Email delivery platforms
  • SMS providers
  • Analytics providers

Mail It Matters will take reasonable steps to ensure subprocessors provide appropriate data protection safeguards.

8. Confidentiality

Mail It Matters will treat all Client data as confidential and will not disclose such information except:

  • As necessary to provide services.
  • As required by law.
  • With Client authorization.

9. Data Retention

Personal data shall be retained only as long as reasonably necessary for:

  • Service delivery
  • Recordkeeping
  • Compliance obligations
  • Legal requirements

Upon request and subject to legal retention requirements, Mail It Matters may delete or return Client data.

10. Data Subject Requests

Because Client acts as Controller, Client shall be responsible for responding to requests from individuals regarding their personal information.

Mail It Matters will reasonably assist Client where appropriate and feasible.

11. Data Breach Notification

If Mail It Matters becomes aware of a confirmed unauthorized access to personal data under its control, Mail It Matters will notify Client without unreasonable delay after discovery.

Such notice will include available information reasonably necessary to understand the nature of the incident.

12. International Transfers

Mail It Matters primarily operates within the United States.

If personal data is transferred internationally through subprocessors, reasonable safeguards will be implemented where appropriate.

13. Limitation of Liability

The liability limitations contained in the applicable service agreement or Terms of Use shall apply to this DPA and govern all claims arising under it.

14. Governing Law

This DPA shall be governed by the laws of the State of Colorado.
